Terms of Service

1. Acceptance of Terms

By accessing, using, or registering on the VertiumScale website or platform (the “Platform”), or by engaging VertiumScale for any services, you (“Merchant”, “User”, “You”) agree to be bound by these Terms of Service (“Terms”).

If You do not agree to these Terms, You must not use the Platform or any services provided by VertiumScale.

These Terms apply exclusively to business-to-business (B2B) users.

2. Services Provided

VertiumScale provides an integrated operational infrastructure for e-commerce merchants, which may include, but is not limited to:

● Introduction and facilitation of third-party payment processors

● Operational and technical support services

● Dispute and chargeback management

● Customer support services

● Order, fulfillment, and logistics coordination

● Compliance support, tooling, and merchant enablement

The scope of services may vary per Merchant and is subject to separate agreements or onboarding terms where applicable.

3. No Financial Institution

VertiumScale is not:

● A payment processor

● A bank or financial institution

● A licensed payment institution

● A merchant of record

● A holder or custodian of funds

VertiumScale does not process, hold, receive, or transfer funds on behalf of Merchants or their customers.

All payment services are provided exclusively by third-party payment processors under separate agreements entered into directly between the Merchant and such processors.

4. Third-Party Payment Processors

Any relationship with a payment processor is solely between You and the processor.

VertiumScale:

● Does not control underwriting, approval, or risk decisions

● Does not guarantee account approval, pricing, or stability

● Has no authority over reserves, rolling holds, freezes, terminations, or payout schedules

● Is not responsible for processor performance, policies, or compliance actions

You acknowledge that all processing terms, fees, risk decisions, and compliance obligations are determined exclusively by the payment processor.

5. Fees and Payment Structure

VertiumScale charges the Merchant a fixed all-in fee of ten percent (10%) of processed transaction volume, unless explicitly agreed otherwise in writing.

This fee is collected through a split payment structure, whereby the applicable payment processor and VertiumScale each receive their respective portion directly at the time of transaction settlement.

The all-in fee represents the total effective cost to the Merchant and includes both:

● the payment processor’s standard processing fees; and

● VertiumScale’s service fees.

VertiumScale does not apply hidden markups, variable pricing, or discretionary fee adjustments.

6. No Guarantees

VertiumScale provides its services on an “as is” and “as available” basis.

VertiumScale makes no guarantees regarding:

● merchant account approval

● processing uptime or performance

● account stability or absence of holds or reserves

● chargeback ratios or dispute outcomes

● business results, revenue, or profitability

Any references to performance, stability, or optimization are commercial descriptions only and do not constitute guarantees.

7. Data, Documents, and Compliance

7.1 Data Submission

Merchants may be required to submit business, financial, KYC/KYB, or operational data.

By submitting such data, You authorize VertiumScale to:

● store and process the data;

● share data with payment processors and service partners;

● use data for compliance, operational delivery, risk assessment, and fraud prevention.

7.2 Data Retention

Data may be retained where necessary for:

● legal and regulatory obligations;

● fraud prevention and security;

● contractual enforcement;

● audits, backups, and system integrity.

Data deletion requests are subject to applicable legal requirements.

8. Merchant Responsibilities

The Merchant remains fully and solely responsible for:

● its products and services;

● marketing, advertising, and representations;

● compliance with all applicable laws and regulations;

● taxes, duties, and reporting obligations;

● chargebacks, refunds, disputes, and end-customer claims;

● accuracy and legality of all submitted information.

VertiumScale bears no responsibility for the legality, quality, or performance of the Merchant’s business activities.

9. Prohibited Use

The Platform and services may not be used for:

● illegal or unlawful activities;

● fraud, deception, or misrepresentation;

● circumvention of processor rules or compliance requirements;

● activities that pose excessive legal, financial, or reputational risk.

VertiumScale reserves the right to refuse service at its sole discretion.

10. Suspension and Termination

VertiumScale may suspend or terminate access to the Platform or services at any time, with or without notice, if:

● these Terms are violated;

● submitted information is false or misleading;

● continued service poses legal, regulatory, or risk exposure.

Access to the Platform is a revocable privilege, not a guaranteed right.

11. Limitation of Liability

To the maximum extent permitted by law, VertiumScale shall not be liable for:

● indirect, incidental, or consequential damages;

● loss of revenue, profits, or data;

● actions, failures, or decisions of third-party processors or vendors;

● holds, reserves, chargebacks, or account terminations.

Any liability of VertiumScale shall be limited to the fees paid by the Merchant to VertiumScale in the three (3) months preceding the event giving rise to the claim.

12. Intellectual Property

All content, software, tools, branding, and materials made available through the Platform are the exclusive property of VertiumScale or its licensors.

Unauthorized copying, scraping, reverse engineering, or competitive use is prohibited.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands.

Any dispute shall be submitted exclusively to the competent courts in the Netherlands, unless mandatory law provides otherwise.

14. Legal Entity & Company Information

VertiumScale is a trade name under which the following legal entity operates:
